- "We," "Us," or "Our" refers to Hallbridge.
- "Content" refers to all text, graphics, images, and other material on our website.
- "Agreement" refers to these Terms together with any engagement-specific terms.
2. Acceptance of Terms
By using our website or engaging our consulting services, you confirm that:
- You are at least 18 years of age
- You have the legal capacity to enter into binding agreements
- If representing an organization, you have authority to bind that organization to these Terms
- You agree to comply with all applicable laws and regulations
3. Services Description
Hallbridge provides business consulting services focused on organizational assessment, partnership development, and network strategy. Our services include:
- Business Bridge Assessment: Evaluation of gaps between current state and desired outcomes, delivered over two to three weeks
- Partnership Development Facilitation: Support for establishing business partnerships, typically spanning eight to twelve weeks
- Network Strategy Advisory: Guidance for developing relationship networks, with flexible timelines based on objectives
Specific service terms, deliverables, and timelines are established in individual engagement agreements.
4. User Responsibilities
Prohibited Activities
You agree not to:
- Use our services for any unlawful purpose
- Provide false or misleading information
- Attempt to gain unauthorized access to our systems
- Interfere with the proper functioning of our website
- Reproduce, distribute, or modify our content without permission
- Use our services to harm, harass, or defame others
Information Accuracy
You are responsible for providing accurate and complete information during engagement inquiries and throughout any consulting services. Inaccurate information may affect the quality and relevance of our recommendations.
5. Intellectual Property
Our Content
All content on our website, including text, graphics, logos, and software, is owned by Hallbridge and protected by Canadian and international intellectual property laws. You may not use our content without explicit written permission.
Client Deliverables
Upon full payment, clients receive ownership of engagement deliverables including reports, roadmaps, and recommendations prepared specifically for their organization. Hallbridge retains the right to use anonymized case study information and general methodologies developed during engagements.
Confidential Information
Both parties agree to maintain confidentiality of proprietary information shared during consulting engagements, as detailed in individual engagement agreements.
6. Payment Terms
For consulting services:
- Service fees are specified in individual engagement agreements
- Prices are in Canadian Dollars unless otherwise stated
- Payment terms are established at engagement commencement
- Late payments may incur interest charges as permitted by Ontario law
- Services may be suspended for non-payment
Refund Policy
Refund eligibility is determined on a case-by-case basis and depends on the stage of engagement completion. Any refund requests must be submitted in writing to [email protected].
7. Service-Specific Terms
Consulting Engagements
- Engagement scope and timeline are defined in individual agreements
- Client cooperation is required for timely completion
- Recommendations are advisory; implementation is client responsibility
- Deliverables are based on information provided during engagement

Services Provided "As Is"
Our consulting services are provided on an "as is" basis. While we strive for quality and accuracy, we make no warranties or representations regarding specific outcomes or results.
No Guarantee of Results
Business outcomes depend on numerous factors beyond our control. We do not guarantee specific results from implementation of our recommendations.
Not Professional Advice
Our services constitute business consulting and do not replace legal, accounting, or other professional advice. Clients should consult appropriate professionals for specialized guidance.
9. Limitation of Liability
To the maximum extent permitted by Ontario law:
- Hallbridge's total liability for any claims arising from consulting services shall not exceed the fees paid for the specific engagement
- We are not liable for indirect, incidental, consequential, or punitive damages
- We are not liable for damages resulting from client's implementation of recommendations
- We are not liable for third-party actions or decisions
This limitation applies whether claims are based in contract, tort, negligence, strict liability, or any other legal theory.
10. Indemnification
You agree to indemnify and hold harmless Hallbridge, its employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of third-party rights.
11. Termination
By Either Party
Either party may terminate a consulting engagement with written notice. Termination terms, including fees for work completed, are specified in individual engagement agreements.
Effect of Termination
Upon termination:
- Client pays for work completed to date of termination
- Hallbridge provides deliverables for completed work phases
- Confidentiality obligations continue
- Intellectual property provisions remain in effect
12. Dispute Resolution
Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.
Jurisdiction
Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.
Informal Resolution
Before initiating formal proceedings, parties agree to attempt good faith resolution of disputes through direct communication.
13. General Provisions
Entire Agreement
These Terms, together with individual engagement agreements and our Privacy Policy, constitute the entire agreement between you and Hallbridge regarding use of our services.
Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
Assignment
You may not assign or transfer these Terms or any engagement agreement without our written consent. We may assign our rights and obligations with notice to you.

14. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated "Last Updated" date. Material changes will be communicated via email to active clients.
Continued use of our website or services after changes constitutes acceptance of modified Terms. Active engagement agreements remain subject to the Terms in effect when the engagement commenced.
